By accessing or using the GrayEngines website ("Site"), you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site.

GrayEngines Technologies ("GrayEngines", "we", "us") is based in Lagos, Nigeria. You can reach us at hello@grayengines.com.

The Site provides information about our engineering services — including websites, custom software, and AI systems. Content on the Site is for general information only. It does not constitute a binding offer or contract.

Paid work is governed by a separate proposal, statement of work, or service agreement ("Project Agreement") that defines scope, fees, timelines, deliverables, and support. If there is a conflict between these Terms and a signed Project Agreement, the Project Agreement controls for that project.

You agree to use the Site lawfully and not to:

• Attempt to gain unauthorised access to our systems or data
• Interfere with the Site's operation or security
• Scrape, copy, or republish Site content without permission
• Use the Site to transmit malware, spam, or harmful material
• Misrepresent your identity or affiliation when contacting us

We may suspend or restrict access if we reasonably believe these Terms have been violated.

Unless stated otherwise, GrayEngines owns the Site and its content — including text, design, branding, logos, and code — and all related intellectual property rights. You may view and download materials for personal or internal business evaluation only.

You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

When you contact us or submit a project brief, you represent that you have the right to share the information and materials you provide. You grant us a limited licence to use those materials solely to evaluate, propose, and (if engaged) deliver your project.

You are responsible for ensuring that confidential or sensitive information is shared through appropriate channels and only when you are comfortable doing so.

The Site may link to third-party websites or services (for example Instagram, LinkedIn, X, or cloud file sharing). We are not responsible for their content, policies, or practices. Your use of third-party services is subject to their own terms.

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Timelines, capabilities, and examples shown on the Site are illustrative unless confirmed in a Project Agreement.

To the fullest extent permitted by law, GrayEngines and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site.

Our total liability for claims relating to the Site (excluding liability that cannot be limited by law) will not exceed the amount you paid us, if any, for access to the Site in the twelve months before the claim arose, or one hundred US dollars (USD $100), whichever is greater.

You agree to indemnify and hold harmless GrayEngines from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Courts in Lagos, Nigeria shall have exclusive jurisdiction over disputes arising from these Terms or use of the Site, subject to any mandatory consumer protections in your jurisdiction.

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the latest version. Continued use of the Site after changes constitutes acceptance of the revised Terms.
